1. Acceptance of Terms

By downloading, installing, accessing, or using the ShopMng app, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree to these Terms, you must not use the App and should uninstall it immediately.

2. Description of Service

ShopMng is a mobile application designed to help small business owners manage their orders, customers, products, and business operations. The App provides features including but not limited to:

• Customer contact management
• Product catalog management
• Order creation, tracking, and status management
• Order preparation and delivery workflows
• Employee management with role-based permissions
• Expense tracking
• Business statistics and analytics
• Push notifications for order updates
• Data synchronization via cloud storage

The App is provided "as is" and we reserve the right to modify, suspend, or discontinue any features or the entire service at any time without prior notice.

3. Eligibility

You must meet the following requirements to use the App:

• You must be at least 13 years old (or the age of majority in your jurisdiction)
• You must have the legal capacity to enter into binding agreements
• You must not be prohibited from using the App under applicable laws
• If using the App on behalf of a business, you must have authority to bind that business to these Terms

4. Account Registration and Security

4.1 Account Creation

To use the App, you must create an account by providing:

• A valid email address
• A secure password, OR
• Authentication via Google or Facebook

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use or security breach
• Using a strong, unique password for your account

4.3 Account Information

You agree to:

• Provide accurate, current, and complete information
• Update your information to keep it accurate and current
• Not create accounts using false or misleading information
• Not share your account with others

5. User Content and Data

5.1 Your Data

You retain all ownership rights to the data and content you create, upload, or store in the App ("User Content"), including:

• Customer information
• Product catalogs
• Order details
• Business notes and records
• Financial information

5.2 License to Us

By using the App, you grant us a limited, non-exclusive, royalty-free license to:

• Store, process, and transmit your User Content
• Provide the App's features and functionality
• Maintain and improve the service

Important: We will NOT use your User Content for any other purpose without your explicit consent.

5.3 Data Responsibility

You are solely responsible for:

• The accuracy and legality of your User Content
• Backing up your data regularly
• Complying with data protection laws regarding customer information
• Obtaining necessary consents from your customers

5.4 Prohibited Content

You agree NOT to upload or store content that:

• Violates any laws or regulations
• Infringes on intellectual property rights
• Contains malware, viruses, or harmful code
• Is fraudulent, deceptive, or misleading
• Contains personal information obtained illegally

6. Acceptable Use Policy

When using the App, you agree NOT to:

• Use the App for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's operation or servers
• Reverse engineer, decompile, or disassemble the App

• Use automated tools (bots, scrapers) to access the App
• Attempt to circumvent any security measures
• Transmit spam, viruses, or malicious code

6.2 Business Conduct

• Use the App for legitimate business purposes only
• Comply with all applicable business, tax, and consumer protection laws
• Respect customer privacy and data protection regulations
• Not engage in fraudulent or deceptive business practices

6.3 Consequences of Violation

Violation of this Acceptable Use Policy may result in:

• Immediate suspension or termination of your account
• Legal action if applicable
• Reporting to relevant authorities

7. Intellectual Property Rights

7.1 Our Rights

The App and all its content, features, and functionality (excluding User Content) are owned by PUBB.DEV and are protected by copyright, trademark, and other intellectual property laws.

This includes but is not limited to:

• App design, layout, and user interface
• Source code and software
• Logos, branding, and trademarks
• Documentation and help materials

7.2 License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on your devices
• Use the App for your personal or business purposes

You may NOT:

• Copy, modify, or create derivative works of the App
• Sell, rent, lease, or sublicense the App
• Distribute or publicly display the App
• Use our trademarks or branding without permission

7.3 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us the right to use them without any obligation to you.

The App integrates with third-party services:

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness
• Warranties of uninterrupted or error-free operation
• Warranties that defects will be corrected

9.2 No Business Advice

The App provides tools for business management but does NOT provide:

• Legal, financial, or tax advice
• Business strategy or consulting services
• Guarantees of business success or profitability

You should consult appropriate professionals for business, legal, and financial advice.

9.3 Data Accuracy

We do not guarantee:

• The accuracy of statistics or analytics provided by the App
• That calculations are error-free
• That data synchronization is always complete

You are responsible for verifying the accuracy of your business data and records.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 No Liability for Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption
• Damage to reputation or goodwill
• Costs of procurement of substitute services

10.2 Maximum Liability

Our total liability to you for any claims arising from your use of the App shall not exceed the amount you paid to us (if any) in the 12 months before the claim arose.

10.3 Basis of Bargain

You acknowledge that we have set our prices and entered into this agreement in reliance upon these limitations of liability, which allocate risk between us and form a basis of the bargain.

11. Indemnification

You agree to indemnify, defend, and hold harmless PUBB.DEV, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any laws or regulations
• Your User Content or business activities
• Your infringement of any third-party rights
• Your violation of customer privacy or data protection laws

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

• Deleting your account through the App settings
• Contacting us at developer@pubb.dev
• Uninstalling the App (though your account may remain active)

12.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your use poses a security risk
• We are required to do so by law
• We decide to discontinue the App

12.3 Effect of Termination

Upon termination:

• Your right to use the App will immediately cease
• Your User Content will be deleted within 30 days (see our Privacy Policy)
• You must stop using the App and delete it from your devices
• Provisions that by their nature should survive (e.g., liability limitations) will continue to apply

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last Updated" date
• Posting a notice in the App
• Sending a push notification or email for significant changes

Your continued use of the App after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the App and delete your account.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

• First: Good faith negotiation between the parties
• Second: Mediation if negotiation fails
• Third: Arbitration or competent courts in Vietnam

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to bring claims as part of a class action or representative proceeding.
